Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Web Market Pros Agency dba ReferBridge (“ReferBridge,” “we,” “us”) governing your use of the ReferBridge referral-network application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Eligibility & accounts

• You must be at least 18 and a currently licensed real estate professional in good standing. Licensing is self-attested at signup; you are responsible for the accuracy of your license information and for maintaining your license.
• You’re responsible for your account credentials and all activity under your account.
• Keep your information accurate and up to date.

2. What ReferBridge is (and isn’t)

• ReferBridge is a software platform that helps agents discover one another and send, accept, and document agent-to-agent referrals, including routing the referral agreement to the appropriate brokers/office managers for e-signature.
• ReferBridge is not a real estate broker, party to any referral arrangement, or escrow agent. We do not provide legal advice. The referral agreement is solely between the participating agents and their brokers.
• No money moves between agents through ReferBridge. Any referral fee owed between agents/brokers is handled directly between those parties outside the Service, consistent with applicable real estate law and their brokers’ policies. Our fees are for software only (see §4).

3. Referrals, agreements & e-signature

• You are responsible for the accuracy and lawfulness of the information you submit, including client information, and for having the right to share it.
• Referral agreements are signed electronically by the brokers/office managers in the signing order presented in the app. You consent to the use of electronic records and signatures for these transactions.
• You are responsible for compliance with your brokerage’s policies, your state real estate laws and license regulations, RESPA, and any rules governing referral fees and cooperation between licensees.
• Any referral agreement or other document generated by the Service is a general-purpose template and is not drafted for, or specific to, the laws of any particular state or jurisdiction. It may not address requirements that apply to you. You are solely responsible for reviewing every agreement before signing and for having it reviewed by a licensed real estate attorney in your local jurisdiction. ReferBridge does not provide legal advice and makes no representation that any generated document is complete, current, or enforceable in your state.

4. Plans, fees & billing

• Pro subscription: offered at the prices shown in the app (e.g., monthly or annual). Subscriptions auto-renew until canceled; you can cancel anytime and retain access through the end of the paid period. Fees are billed through our payment processor.
• Referral sends: sending referrals is currently free of any per-referral charge; fair-use sending limits apply. If a per-referral software fee is introduced in the future, the amount will be shown at checkout before you pay.
• All fees are for access to and use of the software, are stated in US dollars, and are, except as required by law or expressly stated, non-refundable. We may change prices prospectively with notice.
• Taxes, if any, are your responsibility.

5. SMS text-program terms

If you opt in to text alerts:

• We send transactional alerts about your referral activity (new referrals, messages, and agreement updates). Message frequency varies. Message and data rates may apply.
• Reply STOP to cancel; reply HELP for help. Opt-in is not a condition of using the Service. Supported carriers are not liable for delayed or undelivered messages.
• See the SMS section of our Privacy Policy for how we handle your number (including that we do not share it with third parties for marketing).

6. Email communications

By creating an account you agree we may send you account, transactional, and lifecycle email. You can unsubscribe from non-essential email at any time via the link in those messages or your account settings; essential account/transactional email may still be sent.

7. Acceptable use

You agree not to: misrepresent your identity, license, or authority; upload false, infringing, or unlawful content; harvest or misuse other users’ or clients’ data; send spam or solicitations outside the intended referral purpose; interfere with or attempt to breach the Service’s security; or use the Service in violation of any law or third-party rights.

8. User content

You retain ownership of content you submit (profile, messages, referral details). You grant ReferBridge a non-exclusive, worldwide license to host, process, and display that content as needed to operate the Service (e.g., showing your profile to other agents, delivering referrals, generating the agreement). You’re responsible for your content and its legality.

9. Reviews

Reviews must be honest and based on genuine interactions. We may remove content that violates these Terms. You are solely responsible for reviews you post.

10. Third-party services

The Service relies on third-party providers (e.g., payment processing, e-signature, SMS and email delivery, maps, hosting, and sign-in services). Your use may be subject to their terms, and we are not responsible for third-party services.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any referral will result in a transaction, fee, or income. We do not verify agents’ licenses and make no representations about other users.

12. Limitation of liability

To the maximum extent permitted by law, ReferBridge and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months before the claim or (b) USD $100.

13. Indemnification

You will indemnify and hold harmless ReferBridge from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, your referrals, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or other users. Sections that by their nature should survive (e.g., fees owed, disclaimers, limitations, indemnification) survive termination.

15. Changes to the Service or Terms

We may modify the Service or these Terms. For material changes to the Terms, we’ll update the “Last updated” date and provide reasonable notice. Continued use after changes means you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Clark County, NV, and you consent to their jurisdiction.
